TERMS OF SERVICE

1. INTRODUCTION
Welcome to Web Cheezy. These Terms of Service (“Terms”) govern all services provided by Web Cheezy (“we,” “us,” or “our”) to the client (“Client,” “you,” or “your”).
By accessing this website or engaging Web Cheezy’s services, you agree to be bound by these Terms of Service. These terms apply to all users, clients, and visitors.
2. SERVICES
Web Cheezy provides the following services:
- Website design & development
- Mobile & web application development
- E-commerce solutions
- Website/product redesign
- Custom digital solutions and consulting services as defined in project agreements
All services are subject to a defined scope outlined in a proposal, quotation, or agreement.
3. PAYMENT TERMS
- A non-refundable upfront payment (50–75%) is required before project commencement
- Remaining balance is due prior to final delivery or deployment
- Payments are non-refundable once work has commenced
- Delayed payments may result in project suspension
4. PROJECT SCOPE & CHANGE MANAGEMENT
4.1 Defined Scope
All deliverables are based on the agreed project scope.
4.2 Scope Flexibility
The scope of work for each project is defined in the agreed proposal or contract. While Web Cheezy will make reasonable efforts to accommodate minor adjustments, any significant changes to the original scope may require a revision of project timelines, deliverables, and pricing.
Web Cheezy reserves the right to assess whether a request falls within or outside the agreed scope and will communicate any required adjustments before proceeding.
4.3 Change Request Process (CRP)
Any request that alters the agreed scope of work must be submitted formally (email/WhatsApp approved channel) as a change request.
Upon receiving a change request, Web Cheezy will:
- Review the requested changes
- Assess the impact on timeline, cost, and resources
- Provide an updated quote or adjustment proposal
Work on the requested changes will only begin after the client confirms approval of the revised scope, cost, and timeline.
4.4 Out-of-Scope Billing
Any work outside the agreed scope will be billed separately at our standard rates or as quoted.
5. TIMELINES & DELIVERY
- Timelines provided are estimates and depend on timely client feedback
- Delays in content, approvals, or communication may extend delivery timelines
- Web Cheezy is not liable for delays caused by third-party services or client inaction
6. CLIENT RESPONSIBILITIES
The Client agrees to:
- Provide accurate content and assets
- Respond to feedback requests in a timely manner
- Ensure all provided materials do not infringe third-party rights
7. THIRD-PARTY SERVICES
Projects may involve third-party tools or services (e.g., hosting, APIs, plugins).
- Costs for these services are the Client’s responsibility unless stated otherwise
- Web Cheezy is not liable for third-party failures, outages, or policy changes
8. SUPPORT & MAINTENANCE
- Post-launch support is limited unless covered under a maintenance plan
- Ongoing updates, security, and enhancements require a separate agreement
9. INTELLECTUAL PROPERTY
9.1 Client Usage Rights
Upon full payment, the Client is granted a perpetual, non-exclusive license to use the final delivered product for its intended business purpose.
9.2 Web Cheezy Ownership (Developer Protection)
Web Cheezy retains ownership of:
- Underlying code architecture
- Development frameworks
- Reusable components and modules
- Design systems, patterns, and methodologies
9.3 Restrictions
The Client may not:
- Resell, redistribute, or sublicense the work
- Reverse engineer or replicate underlying systems
- Use the product beyond its intended business purpose without consent
9.4 Portfolio Rights
Web Cheezy reserves the right to showcase completed work in its portfolio, marketing materials, and case studies.
10. SYSTEM ACCESS & CONTINUITY
10.1 Platform & Structure Integrity
Projects are built using Web Cheezy’s preferred tools, systems, and architecture to ensure performance, security, and scalability.
10.2 Modifications by Third Parties
Web Cheezy shall not be responsible for issues arising from modifications made by third parties after project delivery.
10.3 Handover & Transition
Where applicable, access to project assets and environments will be provided upon project completion.
Advanced system documentation, architecture transfer, or third-party migration support may be subject to additional fees.
10.4 Continuity Recommendation
For optimal performance and reliability, Web Cheezy recommends ongoing maintenance and support under a separate agreement.
11. TERMINATION
- Either party may terminate the project with written notice
- Payments made are non-refundable
- Work completed up to termination will be billed accordingly
12. LIMITATION OF LIABILITY
Web Cheezy shall not be liable for:
- Loss of business, revenue, or data
- Indirect or consequential damages
- Issues arising from third-party services
13. CONFIDENTIALITY
Both parties agree to keep confidential information private and not disclose it to third parties.
14. GOVERNING LAW
These Terms shall be governed by the laws of Nigeria.
